These terms are the agreement between you and PaperClerk ("we", "us") for using usepaperclerk.com, the PaperClerk app, its API and its AI connector (together, "the service"). By creating an account or using the service you accept them. If you use the service for an organisation, you confirm that you may accept them on its behalf, and "you" includes that organisation. If you do not agree, do not use the service.
The service
PaperClerk stores document templates with fillable placeholders and generates finished documents from them, as records in your workspace and as PDFs, in the app, through the API, and through the AI assistants you connect. We may add, change or remove features; if we remove something you rely on, we will give reasonable notice where we can.
Accounts and workspaces
You need an account to use the app. Keep your sign-in details and API keys secret and tell us at once if you think they have been compromised; you are responsible for what happens under your credentials. A workspace belongs to its owners. Owners and admins decide who joins, what they may see and which plan the workspace is on, and are responsible for their members' use of the service. You must be at least 16 to hold an account.
Your content
Templates, fills and generated documents are yours. You grant us only the licence we need to host, process, render and back them up in order to provide the service to you and your workspace, and to share them with the people and tools you choose. You are responsible for having the rights to what you upload and for what you generate. PaperClerk is a tool for producing documents, not a law firm: nothing in a template or a generated document is legal, tax or professional advice from us. Review every document before you rely on it or send it.
If a workspace publishes a template as a public template, it grants anyone a licence to view, fill and download that template from our public pages. Copies made while it was public remain licensed after it is unpublished.
Acceptable use
Do not use the service to store or generate content that is unlawful, infringes someone else's rights, or is harmful, deceptive or abusive. Do not probe, overload or interfere with the service, circumvent its limits, share one account between several people, or resell the service without our agreement. When you connect an AI assistant, its provider's terms apply alongside these. We may suspend or remove content or access that breaks these rules; where practical, we will tell you first.
AI features
Placeholder detection and connected assistants act on your instructions and on your content. AI output can be wrong: a suggested placeholder can be misplaced, and an assistant can fill a value incorrectly. You are responsible for reviewing what they produce. We are not responsible for what an assistant does outside the service or for the conduct of its provider.
API and connector
API keys and assistant connections are bound to one workspace and act with the permissions of the person who created them. Use the API fairly; we may rate-limit, suspend or revoke access that harms the service or other customers. We may change the API with notice and keep the documentation of the current version at usepaperclerk.com/docs/api.
Plans, trials and payment
Paid plans are sold through Polar, our merchant of record, whose terms govern the purchase, taxes and invoicing. Every plan starts with a free trial; a payment method is required, and the first charge happens when the trial ends unless you cancel before then. Plans renew monthly or yearly until cancelled. You can change or cancel your plan at any time from the billing page; a cancellation takes effect at the end of the current period, and there are no refunds for unused time except where the law requires them. Plan limits are described on the pricing page. We may change prices for a new period with at least 30 days' notice.
Ending the agreement
You may stop using the service at any time; to delete a workspace or an account, email hello@usepaperclerk.com. We may suspend or end your access if you break these terms, do not pay, or if the law requires us to, and we will tell you why where we can. When a workspace ends, its content becomes inaccessible and is deleted as described in the Privacy Policy, so export what you need first.
Availability and disclaimers
We work to keep the service reliable, but we provide it "as is" and "as available", without warranties of any kind to the extent the law allows. We do not promise uninterrupted or error-free operation, and we do not warrant the accuracy or legal effect of any template or generated document.
Liability
To the extent the law allows, we are not liable for indirect, incidental or consequential loss (including lost profits, lost data or business interruption) arising from the service, and our total liability for all claims in any twelve-month period is limited to the amount you paid us for the service in those twelve months, or 100 US dollars if you paid nothing. Nothing in these terms limits liability that cannot be limited by law.
You will cover us for claims by third parties that arise from content you upload or generate, or from your breach of these terms.
Governing law
These terms are governed by the laws of the Republic of Serbia. Disputes we cannot settle between us are heard by the competent court in Belgrade, without prejudice to any mandatory consumer protection you have where you live.
Changes to these terms
We may update these terms; the date at the top says when. For material changes, we will notify account owners by email at least 14 days before they take effect. Continuing to use the service after that date means you accept the new terms.
